PAW Announcement
« on: September 11, 2010, 12:54:14 pm »
After another frustrating morning at the bank, we did manage to transfer all available funds to Robin. Let's hold thumbs that the forex system works.

R 51 400 transferred.

Other business

Due to the fact that the current PAW account is a club account, we need all original signatories at the bank to arrange online access and/or close the account. The trustees present this morning made a collective decision to close the current PAW setup and start again.
For this reason, we transferred all available funds, just leaving enough to cover the bank charges of the transfer and the bank can then close the account due to inactivity at their leisure. Their is no exposure for the current committee members as the account does not incur bank monthly charges. This is the easiest way to close the account.

The current trustees of PAW stand down in it's entirety and all business of PAW "Club" are hereby concluded.

New Setup

The PAW project will go ahead under a new dispensation.  :thumleft:

We will register a new section 21 company within the 2 next months and depending on CIPRO approval, register PAW as it's trade name. Otherwise we will have to come up with a new name. We will ensure that corporate and administrative setup will provide complete transparency but at the same time also provide ease of administration and corporate governance. Administratively it will also be easier to run although a bit more expensive ito of corporate governance but we already have plans to negate this.

For this we need 7 people to become members in the new section 21 company.

Currently we have the following volunteers:

JourneyMan
Motsumi (Just bIke & Tyre)
Gryshond
Pielas

We would prefer Pretoria/Midrand/Jhb members for initial registration of the company and signatory purposes.

Thereafter we will elect a board of directors. The directors need not be one of the original members of the company and can be from anywhere in SA (or the world). I will ensure that corporate issues such as quorums for meetings, AGM's etc. are handled in the articles of association in order to make that side of the business as smooth as possible as well.

Enough corporate shite now. I'm talking myself deur mekaar.

Let's hear your idea's. We still need a driver/s but we think a board of directors dispersed across SA, can do the job in the meantime (or count as drivers??).  8)

Let's hear ideas and move forward! :thumleft:

JM, would like to get involved in some way. What would be required of the members/directors ito activities, time, legal exposure, etc in your view?

"we did manage to transfer all available funds to Robin."

Since Robin is the "beneficiary" why not get him involved to drive the project?  :lamer:

Roux. This is voluntary and we need to fit it in with our busy day-to-day schedule.

I think we will have a small core of directors for general running of the project who then appoint committee's for specific projects.??  All on volunteer basis.

That's how I see it anyway. ;)

Director's volunteering must take note of the new companies act. It is not as in the past where directors are appointed and they sit pretty at the top. It is a responsible position with their duties, responsibilities and actions (or lack there off) and transgressions outlined by the act. Directors these days are personally much more exposed than in the past.

Robin is busy on ground level. PAW is an initiative from us to source funding for his project to re-introduce wild dogs in the wild.

Sure. He will form an integral part of what we do but I doubt he has the time to drive the funding projects in South Africa?

Sounds like a good idea but I am worried that it might not be practical. In my opinion Robin will be focused on his work with the dogs, being in Namibia / Zambia would make the logistics, etc just about impossible to get involved in SA based activities. He will have to be involved but not as a "driver" of this project.

Robin, lets have your thoughts on this!

Hi guys

Thanks again for pulling off the fund transfer.

I am very happy to help out wherever possible with ur publicity and fundraising events. The rain season largely dictates my availability to come and get involved in RSA. Generally I do most of my PR and fundraising jan-mar then am in the field, and periodically in comms.

You will all just have to indicate what you feel is appropriate for me to engage with and we an take it from there.

Sorry I missed you guys at the bank. Was there about 1/4 past 8, saw nobody, moved to bugatti's, saw nobody and went shopping.

Anyway, as stated earlier, am available for this and would like to get involved.

My current cause of choice: "Petition To Get Pole Dancing in 2012 Olympics" seem to be getting nowhere   ???

Good idea, with Robin involved from the inside, it may be easier to direct and communicate.  Seems with his field work - he must be a non-exec kind of position, where his presence will not be required full-time?  Robin, maybe this section 21 coy can serve as legitimate front to channel funds from other initiatives too?

From Wild Dog Forum side - we're sticking to the initial intent to keep PAW separated from WDs in admin, financial, legal and management.  That way WDs can support another wild dog charity if not happy with PAW, and it will allow PAW to grow beyond the wild dog forum ito sourcing of funds.  We do however commit to support PAW in any way we can to get off the ground and as our charity of choice?
